MUTUAL NON-DISCLOSURE AGREEMENT
1. PURPOSE AND DEFINITIONS: This Mutual Non-Disclosure Agreement ("Agreement") is made effective as of the current date, by and between the Disclosing Party and the Receiving Party. The parties wish to explore a business opportunity requiring the exchange of highly proprietary secrets.
2. CONFIDENTIALITY STANDARD: The Receiving Party agrees to use the same degree of care it uses to protect its own sensitive data, but no less than a reasonable standard of care, to prevent the unauthorized distribution of materials.
